Terms of Service
We are Easysync360 (PTY) LTD ("Company", "we", "us", or "our"), registered in South Africa at Randburg, Johannesburg, Gauteng 2196. We operate https://www.easysync360.com and related business-platform products and services (the "Services"). Contact: Support@easysync360.com, Randburg, Johannesburg, Gauteng 2196, South Africa.
These Legal Terms are a legally binding agreement between you and Easysync360 (PTY) LTD. By accessing the Services you agree to be bound. IF YOU DO NOT AGREE, YOU ARE PROHIBITED FROM USING THE SERVICES AND MUST DISCONTINUE USE. We will provide prior notice of scheduled changes; continued use after the effective date means you accept the modified terms. The Services are intended for users at least 18 years old.
1. Our Services
EasySync360 provides organisation-based business workspaces, including invoicing, documents and supported PDF editing, LIMS and supported South African payroll. Access depends on product availability, country, subscription and applicable allowances. Claims is Coming Soon and is not included as a live service. Information is not for distribution where contrary to law. The Services are not tailored to industry-specific regulations (HIPAA, FISMA, etc.); you may not use them if your interactions are subject to such laws, nor in violation of GLBA.
AI assistance is an included EasySync360 capability for navigation, understanding features and authorized work within the platform. Access remains subject to your permissions and supported functionality. AI responses may be inaccurate; review them before relying on them. Laboratory review, approval and release remain human responsibilities. See the Privacy Notice for information about data handling. Privacy Policy
2. Intellectual property rights
We own or license the intellectual property in our software, service materials and trademarks, not your private business content. We grant a non-exclusive, non-transferable, revocable licence to access the Services and use supported features for legitimate personal and business activities, subject to these Terms, your permissions and applicable limits. This permits ordinary invoicing, sales, document sharing and other authorized workflows; it does not permit unauthorized copying, resale or exploitation of our software or trademarks. Permission requests: support@easysync360.com. Breach of these Terms may terminate your right to use the Services.
Submissions & Contributions: Submissions are voluntary product feedback or ideas you specifically provide to improve the Services; they do not include private business questions, records or AI conversations. You permit us to use that feedback for product improvement, without transferring ownership of your private content. Contributions mean only content you deliberately make public through a public feature, where offered, as defined below. Their permission is limited to operating that chosen public feature.
3. User representations
You warrant your registration info is true, accurate, current, and complete and kept updated; you have legal capacity; you are not a minor; you will not use bots or automated means; you will not use the Services for illegal purposes or in violation of law. False info means we may suspend or terminate.
4. User registration
You may need to register. Keep your password confidential; you are responsible for all account use. We may remove, reclaim, or change an inappropriate username.
5. Purchases and payment
Available payment methods, billing currency, applicable taxes and the final total are shown at checkout and may vary by country and provider. Where Paddle is displayed, Paddle acts as merchant of record and processes the payment, tax, receipt and eligible refund. You must provide accurate billing information. Price changes apply prospectively and will be communicated where required by law.
6. Subscriptions
Organisation coverage: unless expressly stated otherwise, one subscription covers one registered organisation; additional organisations require their own coverage. Billing & renewal: Paid subscriptions renew automatically only where recurring billing is set up and confirmed. Manual bank transfers and other non-recurring arrangements do not renew automatically. Free trial: an eligible first organisation receives a 7-day, card-free trial and is not charged automatically; the organisation continues on SyncStart within its limits when the trial ends, unless it chooses a paid plan. Cancellation: cancel future renewal through the available billing portal or by contacting support. Cancellation normally takes effect at the end of the current paid term, with access continuing until then, and does not automatically create a pro-rata refund. Mandatory consumer rights, Paddle's buyer terms and its refund policy still apply. Questions: Support@easysync360.com. Fee changes: communicated as required by applicable law.
SyncPayroll service terms
SyncPayroll is currently available only for supported South African organisations and payroll cases. It assists with record-keeping, calculations, payslips and statutory preparation; it is not tax, legal or payroll-practitioner advice and is not described as SARS approved, UIF approved or independently certified. You remain responsible for accurate inputs, review, registrations, deadlines, payments and acceptance of submissions by the relevant authority. Direct SARS, UIF and bank submission is not currently provided. Unsupported countries and cases are blocked, and guided onboarding may be required. Finalised historical payroll is retained against retrospective jurisdiction or rule changes, subject to lawful corrections and retention requirements.
7. Prohibited activities
Legitimate business use through supported features is permitted. The following prohibited uses do not prohibit ordinary invoicing, sales, document sharing or other authorized business workflows. Prohibited activities include:
- Systematic data retrieval or scraping;
- Defrauding or misleading us or users;
- Circumventing security;
- Disparaging us;
- Harassing or abusing others;
- Misusing support;
- Violating laws;
- Unauthorised framing or linking;
- Uploading viruses or spam;
- Automated use (scripts, bots, data-mining);
- Deleting proprietary notices;
- Impersonation;
- Passive collection mechanisms (spyware, web bugs);
- Interfering with or overburdening the Services;
- Harassing staff;
- Bypassing access measures;
- Copying or adapting the Services' software;
- Reverse-engineering;
- Unauthorised automated systems (spiders, scrapers);
- Using buying agents;
- Collecting usernames or emails for spam or creating accounts by automated or false means;
- Unauthorized copying of our software or using it to offer an unauthorized competing service; this does not prohibit legitimate customers whose business activities overlap ours;
- Unsolicited advertising, spam or unlawful sales; ordinary lawful sales and related invoicing through supported features are permitted;
- Transferring your profile;
- Uploading unlawful, fraudulent, or malicious content;
- Attempting unauthorised access to the platform, other accounts, or system resources.
8. User generated contributions
A Contribution is content you deliberately make available to the public through a public feature, where offered. Private invoices, SyncDoc documents, payroll and employee data, LIMS and patient data, other business records and private AI conversations are not Contributions. Sharing with authorized recipients does not make private content a public Contribution. Public Contributions may be viewed by others. You must have the rights and consents needed to publish them and ensure they do not infringe others' rights, violate privacy or law, mislead, harass, defame, contain unsolicited advertising or spam, exploit children, or promote hatred or discrimination. Breaches may result in moderation, suspension or termination under these Terms.
9. Contribution licence
You retain ownership of your content. For a Contribution you deliberately make public through a feature we offer, you grant a non-exclusive permission to host, display, copy and distribute it only as necessary to operate that chosen public feature. This is not an unrestricted, perpetual or resale licence, does not transfer ownership, and does not apply to private content or sharing with authorized recipients. Moderation under these Terms remains possible. This clause does not change applicable retention requirements or promise deletion.
10. Mobile application licence
If a mobile application is supplied, the following licence applies. We grant a revocable, non-exclusive, non-transferable, limited right to install and use the App on devices you own or control, strictly per these terms. You shall not decompile or reverse-engineer; modify or create derivatives; violate laws; remove proprietary notices; use for revenue-generating or commercial purposes not intended; make available over a network to multiple users; create a competing product; send automated queries or unsolicited email; or misuse our IP or interfaces.
Apple/Android: App-Distributor terms apply (Apple Store / Google Play): the licence is limited to use on iOS or Android devices per the Distributor's usage rules; we (not the Distributor) provide maintenance and support; the Distributor may refund the purchase price on warranty failure; you warrant you are not in an embargoed or "terrorist-supporting" country nor on a prohibited-parties list; you must comply with third-party terms; App Distributors are third-party beneficiaries entitled to enforce these terms.
11. Social media
Where configured, you may use Google sign-in to authenticate or link your account. You authorise the account information needed for that flow, including your identifier, email, name and profile image. Your use of Google is also governed by your agreement with Google.
12. Third-party websites and content
The Services may link to Third-Party Websites and contain Third-Party Content, which we do not investigate or monitor and are not responsible for. Inclusion or linking does not imply endorsement. If you access them you do so at your own risk; these Legal Terms no longer govern; review their terms and policies. Purchases through Third-Party Websites are exclusively between you and the third party — we take no responsibility and you hold us blameless.
13. Services management
We reserve the right (not obligation) to: monitor for violations; take legal action (including reporting to authorities); refuse, restrict, limit, or disable Contributions; remove burdensome files or content; and otherwise manage the Services to protect our rights and ensure proper functioning.
14. Privacy policy
We care about privacy. Review our Privacy Policy (incorporated into these Terms). Information may be processed by EasySync360 and its service providers in other countries as described in the Privacy Notice.
15. Copyright infringements
If you believe material on the Services infringes your copyright, notify us using the contact info below (a "Notification"). A copy will be sent to the person who posted the material. You may be liable for damages for material misrepresentations; if unsure, consult an attorney.
16. Term and termination
These Terms remain in effect while you use the Services. WE RESERVE THE RIGHT, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, TO DENY ACCESS (including blocking IPs) FOR ANY OR NO REASON, INCLUDING BREACH. We may terminate or suspend your account and delete your content at any time without warning. If terminated, you may not re-register under any name. We may pursue civil, criminal, or injunctive redress.
17. Modifications and interruptions
We may change, modify, or remove Services content anytime without notice and have no obligation to update. We cannot guarantee availability; we are not liable for any loss, damage, or inconvenience from downtime or discontinuance. Nothing obligates us to maintain or support the Services.
18. Governing law
Governed by the laws of South Africa. The courts of South Africa have exclusive jurisdiction.
19. Dispute resolution
Informal negotiations: at least 30 days before arbitration, on written notice. Binding arbitration: per UNCITRAL Arbitration Rules; three arbitrators; seat = Johannesburg, South Africa; language English; governing law South Africa. OUR LIABILITY IS LIMITED TO THE AMOUNT PAID BY YOU TO US IN THE SIX (6) MONTHS PRIOR TO THE CAUSE OF ACTION. Some jurisdictions do not allow such limitations, so they may not apply to you.
23. Indemnification
You agree to defend, indemnify, and hold us harmless (including officers, agents, partners, and employees) from any loss, damage, liability, or claim (including reasonable attorneys' fees) arising from: your Contributions; use of the Services; breach of these Terms; breach of your representations or warranties; violation of third-party rights; or a harmful act toward another user. We may assume exclusive defence at your expense; you agree to cooperate.
24. User data
We maintain certain data you transmit to manage the Services and your usage. We perform routine backups but you are solely responsible for your data; we have no liability for any loss or corruption of data and you waive any right of action arising from it.
25. Electronic communications, transactions, and signatures
Visiting the Services, emailing us, and completing online forms are electronic communications. You consent to receive electronic communications and agree they satisfy any legal writing requirement. 27. Miscellaneous
These Terms (plus posted policies) are the entire agreement. Our failure to enforce a provision is not a waiver. We may assign our rights and obligations. We are not liable for events beyond our reasonable control. Severability applies. No joint venture, partnership, employment, or agency is created. You waive defences based on the electronic form of these Terms.
